These conditions of sale are concluded by, on the one hand, the company AGONA SOLUTIONS EUROPE srl, which has a share capital of 3,000 euros and whose registered office is at Calle del Oriente 3, bjo izq. 46006 Valencia (Spain), registered at Companies House of Valencia (Spain) under number ESB40636714, and which manages the website max-florence.com and, on the other hand, by any natural or legal person who wishes to make a purchase through the website max-florence.com, hereinafter known as “the buyer.”

Article 1: Purpose

These conditions of sale are intended to set out the contractual relationship between AGONA SOLUTIONS EUROPE srl and the buyer, and the conditions applicable to any purchase made through the website max-florence.com. Purchasing a product through this site entails the buyer’s unreservedly accepting these terms and conditions of sale, which the buyer acknowledges having read prior to making an order. Before any transaction, the buyer declares, on the one hand, that the purchase of products from the website max-florence.com is not directly related to their professional activity and is limited to strictly personal use and, on the other hand, that they enjoy full legal capacity, which allows them to be bound by these conditions of sale.

AGONA SOLUTIONS EUROPE srl reserves the right to amend these conditions of sale at any time, in order to comply with any new regulations or to improve the use of its website. Therefore, the applicable conditions shall be those that are in force on the date on which the buyer makes the order.

Article 2. Products

The products offered are those that appear on the AGONA SOLUTIONS EUROPE srl website max-florence.com, where stock is available. AGONA SOLUTIONS EUROPE srl reserves the right to amend the range of products at any time. Each product is presented on the website in the form of a description of its main technical features.

The photographs are as accurate as possible, but they do not bind the seller. The sale of the products presented on the website max-florence.com is intended for all buyers who reside in countries that authorise the entry of those products into their territory.

Article 3. Prices

The prices that appear on the product sheets in the Internet catalogue are prices in euros (€) inclusive of all taxes (TTC), taking into account the applicable VAT on the day of the order. Any change to the VAT rate can be reflected in the product prices. AGONA SOLUTIONS EUROPE srl reserves the right to modify prices at any time, however; the price that appears in the catalogue on the day the order is made shall be the only price applicable to the buyer. The stated prices do not include shipping costs, which are charged on top of the price of the products purchased depending on the total amount of the order.

Article 4. Order and payment conditions

Before making an order, the buyer must create an account on the website max-florence.com.
The account creation section is directly accessible from the menu bar.
In each visit, the buyer, if they wish to make an order or look up their account (order status, profile, etc.), they must identify themself using this information. AGONA SOLUTIONS EUROPE srl proposes that the buyer order and pay for their products in several steps, with 2 payment options to choose from:

  • Payment by bank transfer: the buyer selects the products they wish to order in the “basket”, they amend it if necessary (quantities, references, etc.), they verify the delivery address or provide a new one. The shipping costs are then calculated and presented to the buyer, as is the name of the carrier. The buyer then chooses the payment method of their choice: “Transfer payment.” Finally, the last step suggests verifying all the information, reading and accepting these general conditions of sale by marking the appropriate box, and then invites the customer to validate their order by clicking on the “Confirm my order” button. This last click finalises the contract. After validation, the buyer receives an order form confirming their order has been registered. The shipping costs are then calculated and sent to the buyer, along with the carrier’s name. The buyer then chooses their preferred payment method: “PayPal payment”. The next step is to verify all the information and read and accept these general conditions of sale by marking the appropriate box; it then invites them to confirm their order by clicking the button “Confirm my order.” Finally, the buyer is redirected to the secure PayPal interface to securely complete their PayPal account or credit card details. If the payment is accepted, the order is recorded and the contract is finalised. Payment through a PayPal account or with a credit card is irrevocable. In the event of fraudulent use of it, the buyer may demand cancellation of the card payment; the amounts paid shall be paid or refunded later. The cardholder shall not be liable if it can be shown that the payment in question was made fraudulently, remotely, without the physical use of their card. To obtain a refund for the fraudulent debit and bank charges that the transaction may have generated, the cardholder must challenge the debt in writing with their bank within 70 days of the transaction, or within 120 days if the contract between the buyer and the bank so provides. The amounts due are refunded by the bank within one month from the receipt of the cardholder’s written objection. The costs of returning the amounts cannot be charged to the holder.

The confirmation of an order implies acceptance of these conditions of sale, recognition of having full knowledge thereof and waiver of their own terms and conditions of purchase. All the data provided and the registered confirmation shall constitute proof of the transaction. If the buyer has an email address and has included it in their order form, AGONA SOLUTIONS EUROPE srl shall email them the order registration confirmation.

Article 5. Reservation of title

The company AGONA SOLUTIONS EUROPE srl retains full ownership of the products until payment is received in full, including, as a general rule, fees and taxes.

Article 6. Withdrawal

According to article 71 of Legislative Royal Decree 1/2007, the buyer has fourteen business days from the delivery of their order to exercise their right of withdrawal and thus to return the product to the seller with the option to exchange or refund it without a penalty, except for the cost of returning it.

No parcels will be accepted carriage forward, the Buyer must bear the cost of returning the Products.

However, it is specified that Agona Solutions Europe SL will bear the shipping costs if the decision to return is the result of an error on the part of Agona Solutions Europe SL (non-conforming product(s)).

Article 7. Delivery

Deliveries are made to the address given on the order form, which may only be in the agreed geographical area. Orders are made through Correos (postal service) or Mondial Relay. Delivery times are merely indicative; if delivery has not been made within thirty days from when the order is made, the sales contract may be terminated and the buyer shall be refunded. The company AGONA SOLUTIONS EUROPE LLP may email the buyer the package tracking number. The buyer receives the delivery at home from their postman /Mondial Relay or at a Point Relay. If the buyer is not at home, they will receive a phone card from their postman, which will allow them to collect the ordered products at the nearest post office, by the deadline given by the postal services. The buyer is liable for transport-related risks from the moment the items leave AGONA SOLUTIONS EUROPE srl’s facilities. The buyer must, in the presence of the La Poste employee or the delivery person, check the condition of the merchandise packaging and its content at the time of delivery. If there is damage during transport, any complaint must be submitted to the carrier within three days of the delivery.

Article 8. Warranty

All products supplied by AGONA SOLUTIONS EUROPE srl are covered by the legal warranty set out in articles 1484 et seq. of the Civil Code. In the event of a sold product being non-compliant, it may be returned to AGONA SOLUTIONS EUROPE srl, which shall accept it, change it or refund it. Article 9. Liability

In the distance selling platform, the company AGONA SOLUTIONS EUROPE srl is only bound by a best efforts obligation. It is not liable for damages arising from the use of the Internet network, such as data loss, intrusion, viruses, service interruption or other inadvertent problems.

All elements of the website max-florence.com are and remain the exclusive intellectual property of AGONA SOLUTIONS EUROPE srl. Nobody may reproduce, exploit or use the elements of the site for any purpose, even partially, whether in the form of photos, logos, images or texts.

AGONA SOLUTIONS EUROPE srl is committed to protecting the confidentiality of the information provided by the buyer, which may be required to use certain services. All buyer-related information is subject to the provisions of Organic Law No. 3/2018, of 5 December 2018, on the protection of personal data and guarantee of digital rights. As such, the Internet user has the right to access, modify and delete the information regarding them. Article 12. Dispute resolution

These distance selling conditions are subject to Spanish law. In the event of any litigation or dispute, the competent court shall be the court of Valencia.
